1. Acceptance of Terms
By accessing and using the services provided by Itech System Solutions and Services ("Company", "we", "our", or "us"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not use our services.
2. Services
Itech System Solutions and Services provides software development, web development, mobile app development, desktop application development, API integration, and related technology consulting services. The specific scope of services will be outlined in individual project agreements or proposals.
3. Intellectual Property
Unless otherwise agreed upon in writing, all intellectual property rights in the deliverables created by us shall be transferred to the client upon full payment. Pre-existing intellectual property, frameworks, and tools used in development remain the property of their respective owners.
4. Payment Terms
Payment terms are as follows:
- Payment schedules and amounts will be specified in individual project proposals or contracts.
- Invoices are due within the agreed-upon timeframe as stated in the project agreement.
- Late payments may incur additional fees as outlined in the project contract.
- All prices are exclusive of applicable taxes unless otherwise stated.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the business relationship.
6. Limitation of Liability
To the fullest extent permitted by applicable law, Itech System Solutions and Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of our services.
7. Warranty
We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Any defects reported within the warranty period specified in the project agreement will be addressed at no additional cost.
8. Termination
Either party may terminate the engagement with written notice as specified in the project agreement. Upon termination, the client shall pay for all work completed up to the date of termination. Provisions regarding confidentiality, intellectual property, and limitation of liability survive termination.
9. Governing Law
These Terms of Service shall be governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law provisions.
10. Changes to Terms
We reserve the right to modify these Terms of Service at any time. Changes will be effective immediately upon posting to this page. Your continued use of our services after any changes constitutes acceptance of the updated terms.
